The territorial principle of taxation

In Slovakia, taxation is carried out on the basis of the territorial principle. This means that profits earned by non-residents outside the country are exempt from taxation.

Profits from activities

Profits from activities carried out within Slovakia are subject to taxation at the rate of 21%. Small companies with an annual income of up to EUR 100,000 can benefit from a reduced tax rate of 15%. From the second year of operation, the company is required to pay an annual tax license, also known as the minimum tax.

Company is not registered for VAT

If the company is not registered for VAT and its annual income is less than 500,000 EUR, the license fee is 480 EUR. If the income does not exceed 500,000 EUR, but the company pays VAT, the fee is 960 EUR per year. Companies with an annual income of more than EUR 500,000 are required to pay a fee of EUR 2,880 annually. Obtaining a VAT number is mandatory for companies whose annual income from the sale of goods exceeds 49,790 EUR.

Dividends

Dividends paid within Slovakia are exempt from taxation. However, when dividends are paid abroad, a tax rate of 7% applies if there are double tax treaties between the recipient country and Slovakia.

Company Forms

Various forms of companies are available in Slovakia, similar to most other European countries. Options include sole proprietorship, partnership (general or limited), joint stock company, cooperative, limited liability company, representative office, and branch.

This form of enterprise allows for more flexible management and development of the business, while limiting the liability of the company’s participants. SRO is a popular choice for entrepreneurs looking to trade internationally and grow their business at the border.

LEGAL REQUIREMENTS

  • The minimum capital required to register a company is 5,000 EUR
  • To create a company, at least one shareholder is required, which can be both an individual and a legal entity without residency restrictions.
  • The company must also have at least one private person as a director.
  • Residency in Slovakia or the countries of the European Union is a mandatory requirement.
  • Non-residents must obtain a residence and work permit to qualify.
  • The presence of a secretary is not required by law, it is at the discretion of the company.
  • Available information about the company includes the name, legal address, share capital, shareholder and director.
  • A resident director is required to comply with the substance requirements.
  • The office and employees are not mandatory for the company.
  • The legal address of the company must be in the country of incorporation.

Reporting

Reporting is mandatory for all registered companies, which must annually submit their financial information to the tax authorities. Even if the company did not carry out operating activities, the preparation and submission of a financial report is still required. In addition, there is a requirement for large companies to be audited if they meet any two of the following criteria: annual turnover exceeds EUR 2,000,000, asset value exceeds EUR 1,000,000, or the number of employees exceeds 30 people.

Non-resident companies are required to file an Annual Return with the Registrar, updating basic information about their address, directors, shareholders and share capital. If there have been no changes in the company, the presentation of this report confirms the relevance of the current data.

Companies registered as VAT payers are also required to submit monthly tax returns by the 25th day of each month. It is also possible to establish a quarterly tax period.

Required documents

The following documents are required to register a company in Slovakia:

  1. Desired company name (at least three options).
  2. Description of the direction of the future activity of the company.
  3. A business plan describing the plans and strategy for business development.
  4. National and foreign passports of the shareholder and director of the company.
  5. Proof of shareholder registration address, such as a utility bill.
  6. Proof of the principal’s registered address, such as a utility bill.
